End-User License Agreement

Please read this contract carefully. By using the software you accept all the terms and conditions of this agreement. If you do not agree, do not use this software.

This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, the "Customer") and Flextron BT, which owns the accompanying software including any associated software components, software updates, upgrades, and any electronic documentation ("Software"). By installing, copying, or otherwise using the Software, Customer agrees to be bound by the terms and conditions of this Agreement.

1. SOFTWARE MODES

1.1 Trial mode: In trial mode, the Software works with full functionality for a limited amount of time or program uses (as specified and shown by the Software). When installed, the Software works in trial mode by default.

1.2 Full mode: If the Customer purchases a license for the Software, the Software can be switched from trial mode to full mode by entering the unique license key issued to the Customer.

2. GRANT OF LICENSE

2.1 Trial mode: Provided Customer complies with the terms and conditions of this Agreement, Flextron BT grants Customer a free-of-charge, non-exclusive license to install and use the Software in trial mode for personal, non-commercial home entertainment purposes.

2.2 Full mode: Provided Customer complies with the terms and conditions of this Agreement and has paid the applicable license fees for the Software, Flextron BT grants Customer a non-exclusive license to install and use the Software personally on one or more computers. Customer may only access and use the Software in full mode using the license key provided by Flextron BT.

3. COPYRIGHT

3.1 The Software is protected by copyright laws and international treaty provisions. No title to the intellectual property in the Software is transferred to the Customer. Title and full ownership rights to the Software remain the exclusive property of Flextron BT. The Customer will not acquire any rights to the Software except as set forth in this Agreement.

3.2 The Customer agrees that any copies of the Software will contain the same copyright and proprietary notices which appear in the original Software.

4. RESTRICTIONS

4.1 The Customer is not permitted to sublicense, rent, lease, sell or distribute any version/edition of the Software or any portion of it, or to use the Software in a time-sharing arrangement or in any other unauthorized manner.

4.2 The Customer may not share or distribute the Software or license data.

4.3 The Customer may not decompile, disassemble, reverse engineer or modify any version/edition of the Software or any portion of it.

5. DISCLAIMER OF WARRANTY

Flextron BT makes no warranty of any kind, either express or implied, with respect to this Software, its quality, performance, accuracy, merchantability, or fitness for a particular purpose. The Software is provided "as is", and the Customer assumes the entire risk as to its quality and accuracy.

6. LIMITATION OF LIABILITY

IN NO EVENT WILL FLEXTRON BT BE LIABLE TO ANY PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES, INCLUDING ANY LOSS OF DATA, PROFIT, REVENUE OR BUSINESS OPPORTUNITY, RELATING TO THIS LICENSE OR THE SOFTWARE, EVEN IF FLEXTRON BT KNEW, SHOULD HAVE KNOWN OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FLEXTRON BT'S TOTAL CUMULATIVE LIABILITY RELATING TO THIS LICENSE OR THE SOFTWARE SHALL IN NO EVENT EXCEED THE FEES PAID BY CUSTOMER FOR THIS LICENSE.

7. Should any term of this Agreement be declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining terms of the Agreement.
